1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you and Equiforge, Inc. ("Equiforge," "we," or "us") and govern your access to and use of the EquiForge platform, including the Strategist, Metes & Bounds playbook, training course, and any related products, APIs, content, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
2. License to Use the Service
Subject to your compliance with these Terms, Equiforge grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or educational purposes. You may not sublicense, resell, or make the Service available to any third party except as expressly permitted.
3. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated by reference. You agree not to use the Service to violate applicable law, infringe intellectual property rights, or harm Equiforge or its users.
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when registering and keep it current. Notify us promptly at security@equiforge.aiof any suspected unauthorized access.
5. AI Output and Professional Advice Disclaimer
The Service includes AI-generated analysis, summaries, recommendations, and Strategist outputs. These outputs are not legal, financial, tax, engineering, or investment advice. AI outputs may contain errors, omissions, or hallucinated content. You are solely responsible for independently verifying any information before relying on it for development, transactional, regulatory, or financing decisions, and for engaging qualified counsel and licensed professionals as appropriate.
6. Intellectual Property
Equiforge and its licensors retain all right, title, and interest in and to the Service, including all software, content, trademarks, and the EquiForge™ name and logo. You retain ownership of inputs you submit ("Customer Content"). You grant Equiforge a worldwide, royalty-free license to host, process, transmit, display, and create derivative works of Customer Content solely to operate, improve, and secure the Service.
Outputs generated for you by the Service may be used by you for your business purposes, subject to the AI disclaimer above and the rights of any third parties whose materials are referenced.
7. Fees
Certain features may require payment of fees. Fees, billing terms, and refund policies will be presented at the point of purchase. All fees are non-refundable except as required by law or expressly stated.
8. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, violate the Acceptable Use Policy, or if we reasonably believe your use poses a security or legal risk. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnity, and governing law) will survive.
9. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EQUIFORGE DOES NOT WARRANT THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, OR FREE FROM ERROR.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, EQUIFORGE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
11. Indemnification
You agree to defend, indemnify, and hold harmless Equiforge from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) your Customer Content, or (c) your violation of these Terms or applicable law.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Harris County, Texas, and the parties consent to personal jurisdiction there.
13. Dispute Resolution
Before filing any formal claim, the parties agree to attempt good-faith resolution by written notice to legal@equiforge.ai for at least thirty (30) days.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after the effective date constitutes acceptance.
